1. Acceptance of Terms
AlphaPep Lab is the fictitious name (DBA) under which ALPHA BIOTECH HOLDINGS LLC operates, a limited liability company organized under the laws of the State of Florida ("AlphaPep Lab," the "Company," "we," or "our"). These Terms and Conditions (the "Terms") govern access to and use of the AlphaPep Lab website and the purchase of any products offered on it (the "Site"). By accessing the Site, creating an account, or making a purchase, you ("Customer" or "you") accept these Terms in full. If you do not agree with these Terms, you must not access or use the Site.
2. Eligibility and Age Verification
Use of the Site and purchase of products are strictly limited to individuals twenty-one (21) years of age or older. By creating an account or making a purchase, you represent and warrant that you are at least 21 years of age. AlphaPep Lab reserves the right to request age and identity verification at any time, and to refuse, cancel, or suspend any account or order if the Customer's age cannot be verified.
3. Nature of the Products — Research Use Only
All products offered on the Site (the "Products") are research peptide compounds and reagents marketed exclusively as "Research Use Only." The Products are NOT approved, evaluated, or intended for human or animal consumption, therapeutic use, diagnosis, cosmetic use, or treatment of any medical condition. The Products are not drugs, dietary supplements, or medical devices, and have not been evaluated by the U.S. Food and Drug Administration (FDA).
By purchasing any Product, the Customer represents and warrants that: (i) the Customer is a professional, researcher, laboratory, institution, or entity qualified to handle research reagents, or acquires the Product at the Customer's own risk and sole responsibility for research purposes; (ii) the Customer will not consume, administer, inject, or use the Product in humans or animals under any circumstance; and (iii) the Customer is solely responsible for handling, storing, and disposing of the Product in accordance with all applicable laws and regulations.
4. Certificates of Analysis
AlphaPep Lab makes available to the Customer the Certificate of Analysis (COA) corresponding to each Product batch, prepared by an independent third-party testing laboratory. The COA reflects the purity and composition results of the batch tested at the time of testing, and does not constitute a warranty regarding the Customer's subsequent use, handling, storage, or outcome with the Product.
5. User Accounts
The Customer is responsible for maintaining the confidentiality of the Customer's account credentials and for all activity occurring under the Customer's account. AlphaPep Lab reserves the right to suspend or terminate any account that provides false information, violates these Terms, or engages in fraudulent activity.
6. Orders, Pricing, and Payment
All prices are displayed in U.S. dollars and are subject to change without notice. AlphaPep Lab reserves the right to refuse or cancel any order, including for pricing errors, suspected fraud, or lack of inventory availability. Payment is processed through the methods enabled on the Site at the time of purchase. The Customer is responsible for providing valid and authorized payment information.
7. Shipping and Delivery
Shipping timeframes indicated on the Site are estimates and do not constitute a guarantee. AlphaPep Lab is not responsible for delays caused by carriers, customs, weather conditions, or circumstances beyond its reasonable control. Risk of loss and title to the Products transfer to the Customer upon the carrier's receipt of the shipment. It is the Customer's responsibility to verify that the purchase and receipt of the Products is lawful in the Customer's destination jurisdiction.
8. Returns and Refunds
Returns, exchanges, and refunds are governed by AlphaPep Lab's Return and Refund Policy, published separately on the Site and incorporated into these Terms by reference.
9. Prohibited Uses
It is strictly prohibited to: (i) use the Products for human or animal consumption; (ii) resell the Products while representing them as suitable for human consumption, as supplements, or as medications; (iii) use the Site for any unlawful purpose; (iv) attempt to gain unauthorized access to the Site's systems; or (v) use AlphaPep Lab's name, logo, or materials in a manner that suggests health claims or human use of the Products.
10. Assumption of Risk and Release of Liability
The Customer acknowledges and agrees that research reagents carry inherent risks if mishandled, and that the Customer purchases and uses the Products at the Customer's own risk. To the maximum extent permitted by law, the Customer releases and discharges AlphaPep Lab, its partners, employees, and affiliates from any claim, injury, damage, or loss resulting from the handling, misuse, or unauthorized use of the Products by the Customer or third parties.
11. Disclaimer of Warranties
THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ALPHAPEP LAB DOES NOT WARRANT THAT THE PRODUCTS ARE SUITABLE FOR ANY SPECIFIC RESEARCH USE OF THE CUSTOMER.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHAPEP LAB WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR PERSONAL INJURY, ARISING FROM THE USE OR HANDLING OF THE PRODUCTS. ALPHAPEP LAB'S TOTAL LIABILITY TO THE CUSTOMER FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER FOR THE PRODUCT AT ISSUE.
13. Indemnification
The Customer agrees to indemnify, defend, and hold harmless AlphaPep Lab, its partners, employees, and affiliates from and against any claim, damage, loss, fine, regulatory sanction, or legal liability (including reasonable attorneys' fees) arising from the Customer's misuse, unauthorized use, or unlawful use of the Products, or from the Customer's breach of these Terms.
14. Intellectual Property
All content on the Site, including text, graphics, logos, images, and software, is the property of AlphaPep Lab or its licensors and is protected by applicable intellectual property laws. Reproducing, distributing, or creating derivative works from such content without AlphaPep Lab's express written authorization is prohibited.
15. Privacy
Use of the Customer's personal information is governed by AlphaPep Lab's Privacy Policy, published separately on the Site.
16. Affiliate Program
Individuals participating as Vendors or Seller Recruiters in AlphaPep Lab's affiliate program are governed by their respective independent affiliate agreements, not by these Terms, with respect to their role as affiliates.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Florida, without giving effect to its conflict of laws principles. Any dispute arising from these Terms or use of the Site will be submitted to the exclusive jurisdiction of the competent courts of the State of Florida.
18. Changes to These Terms
AlphaPep Lab reserves the right to modify these Terms at any time. Modifications will take effect upon publication on the Site. Continued use of the Site after such publication constitutes acceptance of the modified Terms.
19. Severability and Entire Agreement
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between the Customer and AlphaPep Lab regarding use of the Site and purchase of Products, and supersede any prior agreement, oral or written, on that subject.
